Corporate & General Rehabilitation, Corporate Bankruptcy
The procedure to consider when unsecured debt above KRW 500 million or secured debt above KRW 1 billion rules out personal rehabilitation.
Beyond the statutory ceiling
General rehabilitation is for individuals whose unsecured debt exceeds KRW 500 million or whose secured debt exceeds KRW 1 billion, putting personal rehabilitation out of reach. It is open to any natural person, professionals such as doctors, pharmacists, accountants, tax agents and architects, but equally sole proprietors, civil servants and employees.
There is no debt ceiling, and secured claims can also be modified under the plan, which leaves room to cancel a pending auction. In exchange, confirmation requires consent from three quarters of secured claim value and two thirds of unsecured claim value.
It is typically used when national health insurance receivables have been attached and a clinic can no longer operate, when lease obligations make the business unsustainable, or when an assignment order has cut off a salaried person’s income.
What we handle: general rehabilitation
01 General Rehabilitation
General Rehabilitation is for individuals who cannot use Individual Rehabilitation because their unsecured debt exceeds KRW 500 million or their secured debt exceeds KRW 1 billion, either ceiling being enough to rule the simpler procedure out. A rehabilitation plan is drawn up within what can be repaid out of cash projected from after-tax operating profit, or out of income net of living expenses, and the debt is then repaid in instalments under court supervision with creditor approval. The repayment term is set within a maximum of ten years as a matter of principle, and what remains after the plan has been performed is dealt with according to the plan's terms. We start by splitting the debt into secured and unsecured to test both ceilings, then examines whether the earnings structure of the business, taken as a going concern, can carry a plan at all. Confirmation depends on a creditors' vote and on the court, so rather than assessing the odds we begin by explaining what the voting thresholds require.
02 Who General Rehabilitation Is For
General Rehabilitation comes into view when either of the Individual Rehabilitation ceilings, KRW 500 million unsecured, KRW 1 billion secured, has been passed, closing off the simpler procedure. It is not confined to any one occupation. Licensed practitioners such as doctors, oriental medicine doctors, accountants, tax accountants and architects can use it, and so can sole proprietors, civil servants and salaried employees; any natural person under the Civil Act is eligible. Debt tends to reach this scale through business equipment, lease deposits, finance leases and guarantee obligations, all of which push past the Individual Rehabilitation ceilings quickly. We classify the character of the debt first. Whether the case is dominated by secured debt or by accumulated unsecured debt changes both the design of the plan and which class of creditors has to be persuaded.
03 Categories of Applicant
Applicants for General Rehabilitation fall into two groups by the character of their income. Business income earners include sole proprietors, doctors, oriental medicine doctors, pharmacists, attorneys and entertainers, anyone whose income arises from a business or practice. Salaried income earners include civil servants, teachers, school staff, salaried physicians, financial institution employees, employees of listed companies, and administrators. The distinction is not a formality; it determines what has to be prepared. A business income earner needs materials showing the profitability and going-concern value of the enterprise: balance sheets, profit and loss statements, projected profit and loss statements. A salaried earner need not file documents from that list that do not apply, and submitting only the relevant records to the court is sufficient. We fix the character of the income in the first consultation and then hand over only the document list that actually applies.
04 How It Differs from Individual Rehabilitation
The two procedures diverge at four points. First, Individual Rehabilitation is capped at KRW 500 million unsecured and KRW 1 billion secured, while General Rehabilitation has no ceiling. Second, Individual Rehabilitation requires no creditors' vote, whereas creditor approval is a condition of confirmation in General Rehabilitation. Third, Individual Rehabilitation decides discharge only after the confirmed plan has been performed, while in General Rehabilitation confirmation itself alters the creditors' rights. Fourth, security interests are treated differently: in Individual Rehabilitation an auction to enforce a security interest proceeds even after confirmation, whereas in General Rehabilitation security interests can also be modified by the plan and the auction can be cancelled. Where a mortgaged property has to be preserved, this fourth difference often decides which procedure to use. We put the comparison on the table early so the basis for the choice is shared from the outset.
05 Confirming the Rehabilitation Plan
A rehabilitation plan submitted on the debtor's behalf must be resolved at a meeting of interested parties, or passed by written resolution, before the court will confirm it. Drafting the plan is the legal representative's task. The meeting proceeds by classes divided according to the character of the claims, and the court determines the classification. For an individual debtor the usual split is between secured rehabilitation creditors and unsecured rehabilitation creditors. Passing the plan requires consent from holders of at least three quarters of the voting rights by value in the secured class, and at least two thirds by value in the unsecured class. General Rehabilitation is therefore a procedure that advances only if the plan persuades creditors. We check the distribution of voting rights across the classes while the plan is still being drafted, and design the repayment terms around whose consent will be decisive. Whether the plan passes rests with the creditors, and we do not guarantee that outcome.
06 Preservation and Suspension Orders
Once a preservation order is issued in General Rehabilitation, the right to conduct the debtor's business and to manage and dispose of the estate vests exclusively in the administrator, who is, as a rule, the debtor themselves. That is what makes it possible to keep trading while the procedure runs. The same order bars interested parties, creditors above all, from exercising their rights individually. Compulsory execution, provisional attachment, provisional disposition and auctions to enforce security interests against the debtor's property are suspended or prohibited, and proceedings already suspended can be cancelled where the conditions are met. Secured creditors' rights, too, can be modified by the plan, and enforcement of security can be restrained while the procedure is pending. A preservation order also takes the debtor outside the scope of penalties under the Illegal Check Control Act and can prevent a current-account suspension arising from issued bills. We map the enforcement actions under way and the payment calendar first, then decide which orders to seek and in what order.
07 When to Consider General Rehabilitation
General Rehabilitation is considered as a way of containing a crisis in situations of the following kind. A clinic whose national health insurance receivables have been attached, and so cannot fund its operations, is one typical case; so is a practice struggling under lease and other secured debt service. It also covers salaried earners and business owners whose livelihood has been disrupted by an attachment and assignment order or a collection order; premises where enforcement or other litigation is obstructing normal trading; and businesses squeezed by excessive financing costs. The same applies where sales continue and the enterprise retains going-concern value, yet capital expenditure or external factors have put it at risk of failure, and where an attempt at expansion or a new venture has failed and left the owner in financial difficulty. We identify which of these describes the client's position, then examine whether the most pressing enforcement can be stopped first.
How it works
- 1
Petition and Preliminary Review
Through to preservation orders
Filing the petition to commence rehabilitation with the court that has jurisdiction opens the court's review. Applying at this stage for preservation and suspension orders, so that individual enforcement by creditors is halted, matters a great deal in practice. Once a preservation order issues, compulsory execution, provisional attachment, provisional disposition and auctions to enforce security are suspended or prohibited, and the right to conduct the business and manage the estate vests in the administrator.
- 2
Commencement and Examination of Claims
Administrator appointed, first meeting held
Depending on the review, the court either commences the procedure or dismisses the petition. On commencement an administrator is appointed, as a rule the debtor, who then continues to run the business. The schedule of rehabilitation claims is then filed, creditors lodge their claims, and an examiner investigates them; the first meeting of interested parties follows, consolidated with the special examination date.
- 3
Submitting and Voting on the Plan
The stage that persuades creditors
Following the court's order to submit a plan, the rehabilitation plan is drafted and filed. It is then put to a vote, either at meetings of interested parties after deliberation or through the written resolution procedure. Passing requires consent from at least three quarters of the voting rights by value in the secured creditors' class and at least two thirds in the unsecured creditors' class. Those thresholds are what the repayment terms in the plan are designed around.
- 4
Confirmation, Performance and Termination
Confirmation alters the rights
If the plan is passed and the court confirms it, confirmation alone alters the creditors' rights. Security interests, too, may be modified in accordance with the plan. The debtor then performs the plan, and once performance is on track the court terminates the rehabilitation proceedings. Where the plan is not confirmed, or the procedure is discontinued after confirmation, an adjudication of bankruptcy may follow.
Who this is for
Debt above the individual rehabilitation limits
Considered when unsecured debt above 500 million won or secured debt above 1 billion won rules out individual rehabilitation.
Professionals, business owners and employees
Not only doctors, Korean medicine doctors, pharmacists, accountants, tax accountants and architects, but any natural person, including business owners, public servants and employees, can apply.
Operations blocked by seizure
Used when a business or livelihood is blocked by seizure of health insurance claims, lease debt burdens, or garnishment and transfer orders.
Documents to prepare
Business Operations and Organisation
Location of the place of business · history of the debtor's business, with a business career statement, and the business registration certificate · names and locations of head office, branches and plants, together with factory registration certificates · the debtor's organisational chart · employee headcount and composition. These give the court its basic picture of the scale and structure of the business. A salaried applicant need not file the items here that do not apply.
Assets and Liabilities
Balance sheet and profit and loss statement, based on the most recent closing report and, where accounts have been window-dressed, the corrected version · list of principal assets · list of property subject to registration, with certified copies of the registers · list of property currently under compulsory execution, auction, provisional attachment or disposition, or tax delinquency proceedings, with the related papers · schedule of creditors, covering tax claims, secured rehabilitation creditors and unsecured rehabilitation creditors · schedule of debtors · particulars of guarantee obligations, including guarantees given for third parties by way of property security and guarantees received from third parties · list of principal trading partners, with company name, address and telephone number · an account of how the debt grew, the circumstances leading to the rehabilitation filing, and the present position. The classification of creditors into voting classes derives from this material, so the line between secured and unsecured claims has to be drawn accurately.
Business Trends
Comparative balance sheets and profit and loss statements for the past five years, setting out movements in sales growth rate, cost ratio, SG&A ratio and the various profitability ratios · monthly fund utilisation records for at least the past year, and a monthly cash flow plan for the year ahead · production and sales performance tables. Whether the deterioration is temporary or structural becomes visible in this material, and it forms the basis for estimating how much the plan can realistically repay.
Economic Viability
Statement calculating liquidation value against going-concern value · future business plan · projected profit and loss statement · order intake plan · projected cash flow statement · funding plan · expected cash flow statement. That going-concern value exceeds liquidation value is the central argument holding a rehabilitation plan up. Where the applicant is a salaried earner rather than a business operator, the items above that do not apply need not be filed; submitting only the relevant records to the court is sufficient.
Frequently asked questions
How long does general rehabilitation take?
Hearings are set at each stage, the petition, the commencement decision, examination of claims, the vote at the meeting of interested parties, and confirmation, and an examiner's investigation or revisions to the plan extend it further. The variation with the size of the business, the number of creditors and the state of the papers is wide enough that no period can be quoted in advance. Repayment after confirmation is set within a maximum of ten years as a matter of principle, and once performance is on track the court closes the proceeding.
What if the creditors do not approve the plan?
A rehabilitation plan is carried only if each class meets the approval threshold the statute sets. If it is not carried at the first attempt, a continued session can be scheduled for a further vote, or the plan can be revised to address the objections and resubmitted. If it is never carried, the proceeding is discontinued and, depending on the case, may lead to an adjudication of bankruptcy. That is why designing the plan starts from working out which creditor falls into which class and what each will object to.
Do I lose control of the business if I file?
An administrator is appointed on commencement, and for an individual debtor it is usually the debtor who is appointed and continues to run the business. Being administrator does mean that managing and disposing of property comes under the court's supervision, and certain acts require the court's permission. Where a preservation order issues, individual enforcement by creditors stops from that point, so a business that had been paralysed by attachments often gets breathing room.
Are wages and taxes caught by the rehabilitation plan?
Claims the statute designates as common benefit claims, wages and severance pay among them, are paid as they fall due rather than under the rehabilitation plan. Taxes may be common benefit claims or rehabilitation claims depending on when and how they arose, so arrears have to be sorted by period. Since the repayment level the plan can carry depends on which claims fall where, getting this classification right early matters.
Does general rehabilitation affect a licence or permit?
General rehabilitation does not involve an adjudication of bankruptcy, so the public-law and private-law disqualifications that follow such an adjudication do not apply. Work requiring a licence, as a doctor, pharmacist or accountant, can continue while the procedure runs, and so can the clinic or business itself. Membership rules and contracts do sometimes treat the commencement of rehabilitation as a triggering event, so those terms are worth checking before starting.
